These Terms of Service ("Terms") govern your use of Intelus LLC's staffing services, website, OutsourceIQ™ tool, and related services.
By purchasing Intelus services, accessing or using OutsourceIQ™, or otherwise using services governed by these Terms, you agree to these Terms.
Intelus LLC ("Intelus," "we," "our," or "us") provides remote staffing services that help businesses identify, hire, onboard, and work with remote professionals ("Talent").
Intelus also operates websites, tools, and informational resources, including OutsourceIQ™, an AI-assisted delegation and staffing recommendation tool.
References to "Services" in these Terms may include our staffing services, website, OutsourceIQ™, and related tools where applicable.
Intelus provides access to role-trained remote professionals on a month-to-month basis.
Staffing services automatically renew each month unless canceled in accordance with these Terms.
You may cancel by providing at least 30 days' written notice before your next billing cycle. This notice period allows time to complete ongoing work, handle payroll and administrative obligations, and facilitate an orderly offboarding process.
There are no long-term commitments or setup fees beyond any applicable Talent Matching Deposit. Unless otherwise stated in writing, the Talent Matching Deposit is credited toward your first month of service.
Staffing services are billed in advance each month.
You authorize Intelus to charge the credit card, debit card, bank account, or other approved payment method on file for recurring service fees until your service is canceled in accordance with these Terms.
Payments are non-refundable once services begin, except where otherwise required by law or expressly agreed to by Intelus in writing.
Prices are stated in U.S. dollars unless otherwise specified and may exclude applicable taxes or payment processing fees.
Failure to make timely payment may result in suspension or termination of services.
To cancel staffing services, provide written notice to your Intelus representative or email [email protected] at least 30 days before your next billing date.
Service will continue during the applicable notice period.
Refunds are not issued for unused days, partial months, or early cancellation unless otherwise required by law.
Intelus may suspend or terminate services for non-payment, material breach of these Terms, misuse of Talent, unlawful activity, or conduct that materially disrupts Intelus operations.
Each party agrees to use reasonable care to protect confidential business, customer, financial, operational, and proprietary information received from the other party.
Intelus and Talent will use Client confidential information only as reasonably necessary to perform assigned services or as otherwise authorized by the Client, except where disclosure is required by law.
Clients are responsible for determining what information they provide to Talent and for implementing any access controls appropriate to their own business, legal, regulatory, or security requirements.
To protect Intelus' investment in recruiting, vetting, training, placing, and managing Talent, Client agrees not to directly or indirectly hire, contract with, engage, or solicit any Intelus-provided Talent outside of Intelus for a period of 24 months following the end of that Talent's engagement with Client.
In the event of a breach, Client agrees to pay Intelus a conversion fee equal to 50% of the Talent's annualized rate, due within 15 days of invoice.
This provision applies to direct and indirect arrangements intended to circumvent Intelus' staffing relationship.
Intelus acts as an independent contractor and facilitates staffing relationships between Clients and remote Talent.
Unless expressly agreed otherwise in writing, Talent are not employees of the Client.
Nothing in these Terms creates a partnership, joint venture, fiduciary relationship, or employment relationship between Intelus and the Client.
OutsourceIQ™ is an AI-assisted informational tool intended to help businesses identify:
OutsourceIQ™ is intended for business planning and informational purposes only.
Responses generated by OutsourceIQ™ may be incomplete, inaccurate, outdated, or inappropriate for a particular business.
Intelus does not guarantee the accuracy, completeness, availability, or suitability of any AI-generated recommendation.
Users are responsible for independently evaluating recommendations before making staffing, operational, financial, legal, personnel, or other business decisions.
Any time-savings estimate provided by OutsourceIQ™ is a preliminary planning estimate.
Actual results depend on factors including workload, processes, management practices, delegation quality, training, business complexity, and the person performing the work.
Time-savings estimates are not guarantees.
OutsourceIQ™ does not provide legal, tax, accounting, financial, medical, employment-law, regulatory, or other licensed professional advice.
You should consult an appropriate professional when such advice is required.
You are responsible for the information you submit to OutsourceIQ™.
You represent that you have the right to provide any information you submit.
Do not submit information that you are not authorized to disclose.

Intelus may process OutsourceIQ™ prompts, responses, technical information, and feedback as described in our Privacy Policy.
You may have the opportunity to rate or provide feedback about OutsourceIQ™ or other Intelus Services.
You grant Intelus permission to use feedback you voluntarily provide to evaluate, maintain, improve, develop, and market Intelus products and services, provided that we handle personal information in accordance with our Privacy Policy.
You are not entitled to compensation for ideas, suggestions, or other feedback voluntarily provided to Intelus.
You may not use Intelus' website, OutsourceIQ™, or related systems to:
Intelus may limit, throttle, suspend, or block activity that we reasonably believe violates this section or threatens the security, integrity, or availability of the Services.
The Intelus name, OutsourceIQ™ name, logos, designs, software, interfaces, original content, methodologies, and other proprietary materials are owned by Intelus or its licensors and are protected by applicable intellectual property laws.
Except as expressly permitted, these Terms do not grant you ownership of Intelus intellectual property.
You may use OutsourceIQ™ outputs for your own legitimate business purposes, subject to these Terms and applicable law.
Intelus uses third-party technology and service providers to operate portions of its website and Services.
The website may also contain links to third-party websites, platforms, or services that Intelus does not control.
Intelus is not responsible for the content, security, availability, or privacy practices of third-party websites or services.
We may modify, suspend, limit, discontinue, or change portions of our website, OutsourceIQ™, or other Services at any time.
We do not guarantee that website features, AI tools, or other digital services will be uninterrupted, error-free, or available at all times.
To the maximum extent permitted by law, Intelus is not liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from the Services, Talent, website, or OutsourceIQ™.
This includes losses resulting from reliance on AI-generated recommendations or estimates.
Client agrees to indemnify and hold Intelus harmless from claims, damages, liabilities, costs, or losses arising from Client's actions, misuse of Talent or Services, unlawful activity, information submitted by Client without proper authorization, or breach of these Terms.
To the maximum extent permitted by law, Intelus' aggregate liability arising from staffing services will not exceed the amount paid by Client to Intelus during the 30 days immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot legally be excluded.
Intelus may suspend or terminate access to staffing services, OutsourceIQ™, or other Services if a user:

Changes will become effective when posted unless otherwise stated.
Where required by law, we will provide additional notice of material changes.
Continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-law principles.
Any dispute arising from these Terms shall be brought in the applicable state or federal courts located in or serving Limestone County, Alabama, unless applicable law requires otherwise.
